Terms of Service
Effective date: May 27, 2026
These Terms are an agreement between you and Umytjan Baynazarov, an individual (sole proprietor) operating the service known as Tessering ("Tessering", "we", "us", "our"), based in Dallas, Texas, United States. By creating an account or using Tessering at tessering.com (the "Service"), you agree to these Terms. If you don't agree, don't use the Service.

1. Who can use Tessering
You must be at least 16 years old to use Tessering. By using the Service you confirm that you are 16 or older. We do not knowingly allow accounts for anyone under 16.
2. Your account
You're responsible for your account, for keeping your login secure, and for everything that happens under it. Give us accurate information, and let us know if you believe your account has been compromised. You may sign in using a third-party login (such as Google); their terms apply to that login.
3. The Service and your plan
Tessering is a browser-based spatial audio workstation. It is delivered entirely online — there are no downloads and no physical goods.
- Free gives you Tesser mode (single-stem) with watermarked exports, and Orchestrate mode (multi-stem) limited to 3 watermarked exports.
- Pro removes the watermark and the Orchestrate export limit, with unlimited exports in both modes.
We may add, change, or remove features over time. Plan details and current pricing are on our Pricing page.
4. Payments and billing
Pro is a paid subscription. Payments are processed by Paddle, who acts as our authorized reseller and Merchant of Record. This means Paddle is the seller of record for your transaction and is responsible for handling payment, applicable taxes, and related matters.
- Auto-renewal. Your subscription renews automatically each billing period until you cancel.
- Cancellation. You can cancel anytime. Your Pro access continues until the end of the period you've already paid for, then stops renewing.
- Founding rate. If you subscribe at the founding rate, that price is locked for 24 months from the start of your subscription, after which your plan converts to the then-current public Pro price. The founding rate depends on a continuous subscription: if you cancel, you lose the founding rate, and resubscribing later means paying the public price then in effect.

5. Future usage-based features and credits
We may offer additional usage-based features in the future (such as AI-generated content) that consume usage credits. Credits may be included with paid subscriptions, available for separate purchase, or both. Specific credit allocations and pricing will be communicated at the time the feature is offered.
6. Your content
You own what you create and upload. Audio stems, projects, exports, and other material you bring to Tessering ("Your Content") remain yours.
To run the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, and display Your Content solely to provide the Service to you — for example, saving your projects, processing audio, and generating your exports. This license exists only so we can operate Tessering for you, and it ends when you delete the content or your account, except for backups that age out in the ordinary course.
You represent and warrant that you have all rights necessary to upload and use Your Content with Tessering, including any rights to music, recordings, samples, or other material it contains, and that Your Content does not infringe anyone else's intellectual property or other rights. You're responsible for the legality of what you upload and create.
7. Acceptable use
Don't use Tessering to:
- upload or create content you don't have the rights to, or that infringes someone else's rights;
- break the law or help anyone else do so;
- attempt to disrupt, overload, reverse-engineer, scrape, or gain unauthorized access to the Service;
- circumvent plan limits or watermarking, or share your account to evade them;
- upload malware, or content that is unlawful, harassing, or harmful.
We may suspend or remove content or accounts that violate these rules.
8. Copyright and DMCA
We respect intellectual property rights and expect users to do the same. We respond to notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act (DMCA).
Filing a takedown notice
If you believe content on Tessering infringes your copyright, send a written notice to our designated agent:

To be valid, your notice must include:
- A physical or electronic signature of the copyright owner or someone authorized to act for them;
- Identification of the copyrighted work you say has been infringed;
- Identification of the material you say is infringing, and enough information for us to locate it (such as a link or project reference);
- Your contact information (name, address, phone, email);
- A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law;
- A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.
Counter-notice
If your content was removed and you believe that was a mistake or misidentification, you may send a counter-notice to copyright@tessering.com containing: your signature; identification of the removed material and where it appeared; a statement under penalty of perjury that you have a good-faith belief it was removed by mistake or misidentification; your contact information; and your consent to the jurisdiction of the federal court for your district (or, if outside the U.S., the district where we may be found), and that you'll accept service of process from the party who filed the notice.
Repeat infringers
We may terminate the accounts of users who repeatedly infringe copyright.
9. Our intellectual property
The Service itself — the software, design, branding, "Tessering" name and logo, and related materials — belongs to us and is protected by law. These Terms don't give you any rights to them beyond using the Service as intended.
10. Service availability
We provide the Service on a best-effort basis. We do not guarantee any particular level of uptime, availability, or performance, and there is no service-level agreement. We may modify, suspend, or discontinue all or part of the Service at any time. We'll try to give reasonable notice of major changes, but aren't required to.
11. Disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or that your content won't be lost. Some jurisdictions don't allow certain disclaimers, so parts of this section may not apply to you, and nothing here removes rights you have under mandatory consumer-protection law.
12. Limitation of liability
To the fullest extent permitted by law, we won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability to you for any claim relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) USD $50. Some jurisdictions don't allow these limits, so they may not fully apply to you, and nothing here limits liability that can't be limited by law.
13. Indemnification
You agree to cover (indemnify) us against claims, damages, and reasonable costs arising from Your Content, your use of the Service, or your breach of these Terms — for example, a claim that content you uploaded infringed someone's rights.
14. Termination
You can stop using Tessering and delete your account at any time. We may suspend or terminate your access if you violate these Terms or use the Service in a way that creates risk or legal exposure. When your account ends, sections that by their nature should survive — such as content warranties, IP, disclaimers, liability limits, and indemnification — continue to apply. 15. Changes to these Terms
We may update these Terms. If we make material changes, we'll take reasonable steps to let you know (such as a notice in the app or by email). Continuing to use the Service after changes take effect means you accept the updated Terms.
16. Governing law and disputes
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules. Before filing anything formal, we ask that you first contact us at payments@tessering.com so we can try to resolve the issue directly. If we can't, any dispute will be handled by the state or federal courts located in Dallas County, Texas, and you consent to their jurisdiction — except where the mandatory consumer-protection law of your home country gives you the right to bring proceedings locally, which this clause does not override.
